Who we are

This website is operated by Working Capital Group Pte Ltd (UEN 202610636Z), a company incorporated in Singapore with its registered office at 16 Collyer Quay, #31-00, Singapore 049318. In these terms, "we", "us" and "WCG" refer to that company.

Information purposes only

The content of this website is provided for general information about our services. It is not advice, and it is not a substitute for advice. Nothing on this website constitutes legal, financial, tax, accounting, regulatory or investment advice, and it should not be relied upon in making any decision.

WCG does not provide legal advice, does not carry on the regulated activity of advising on corporate finance or dealing in capital markets products, and does not arrange, place, underwrite, distribute or solicit investments. Where an engagement requires such services, clients appoint qualified counsel and appropriately licensed intermediaries, who remain responsible for their own advice and regulated services.

No adviser-client relationship

Using this website, submitting the enquiry form or corresponding with us does not create an adviser-client, consultant-client or any other professional relationship. A relationship arises only when a written engagement letter has been signed by both parties. The terms of any engagement are governed by that engagement letter and not by this website.

Enquiries and confidentiality

Information you submit through the enquiry form or send to us before an engagement is agreed is not subject to any duty of confidentiality, professional privilege or non-disclosure obligation, and no such duty arises from your use of this website. Please do not send confidential, price-sensitive, privileged or otherwise highly sensitive information until a written engagement letter and, where appropriate, a confidentiality agreement have been signed.

We handle enquiry information in accordance with our privacy policy, but that is a data-protection commitment and not a contractual duty of confidence.

No engagement without a signed engagement letter

No engagement, retainer or professional relationship of any kind arises unless and until a written engagement letter has been signed by both parties. Correspondence, meetings, proposals, estimates and discussions, however detailed, do not create an engagement or any obligation to perform services.

Fees and compensation

All fees are set out in the applicable engagement letter. WCG does not receive placement commissions or transaction-based compensation for introducing investors, arranging subscriptions or placing capital markets products. Where an engagement includes a performance-linked component, the measurement basis, attribution, client responsibilities, exclusions and dispute-resolution process are set out in that engagement letter and not on this website.

No offer or solicitation

Nothing on this website constitutes an offer, an invitation, a recommendation or a solicitation to buy, sell or subscribe for any security, capital markets product, digital token or other financial instrument, in any jurisdiction. Any illustrative structure, framework or diagram shown is generic and does not represent an actual transaction or a recommendation.

No reliance and no guarantee of outcome

Frameworks, timelines, assessments and other material on this website are illustrative. Timings and outcomes vary according to circumstances, the information available, the readiness of the business and the requirements of third parties. Acceptable use

You agree not to use this website unlawfully, not to attempt to gain unauthorised access to it, not to introduce malicious code, and not to use automated means to extract content for commercial purposes without our consent. You agree not to submit false information through the enquiry form.

Limitation of liability

This website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, and subject to the paragraph below, WCG is not liable for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill, opportunity or anticipated savings, arising from use of or reliance on this website.

Nothing in these terms excludes or limits our liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited under Singapore law.

Privacy

Our handling of personal data is described in our privacy policy. That policy is a separate notice explaining how we collect, use, disclose and protect personal data. It is not incorporated into these terms and does not form part of any contract between us.

Changes

We may amend these terms from time to time. The date at the top of this page shows when they were last revised, and the version in force is the one published here at the time you use the site.

General

Severability. If any provision of these terms is held to be invalid or unenforceable, that provision is severed and the remaining provisions continue in full force.

No waiver. A failure or delay in exercising any right under these terms does not waive that right, and no single or partial exercise prevents any further exercise.

Entire agreement. These terms constitute the entire agreement between you and WCG in relation to your use of this website, and supersede any prior understanding on that subject. Where an engagement letter has been signed, that letter governs the engagement and prevails over these terms in respect of the services provided.

Third-party rights. A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of them.

Governing law

These terms, and any dispute or claim arising out of or in connection with them or the use of this website, whether contractual or non-contractual in nature, are governed by and construed in accordance with the laws of Singapore. The courts of Singapore have exclusive jurisdiction to settle any such dispute or claim.
